Why Should You Choose NCP As Your Resident Agent?

Nevada requires all entities to have a resident agent whose responsibility (among others) is to accept proper service of legal documents for its client. According to the State of Nevada under Nevada Revised Statue 78.090 “…every resident agent must have a street address for the service of process, and may have a separate mailing address such as a post office box, which may be different from the street address. All legal process and demand or notice authorized by law to be served upon a corporation may be served upon the resident agent of the corporation in the manner provided in subsection 2 of NRS 14.020. …”

Picture yourself in this scenario:

You’re a savvy, forward-thinking businessperson with a blossoming company. You’ve decided to take that crucial step and form a corporate or LLC entity. You’ve done your homework, chosen the best entity for your situation, and decided to use the services of a Resident Agent. On Monday morning, you walk into your office… and there’s a subpoena sitting front and center on your blotter.

Life as you knew it has just turned on a dime. In the ensuing days, filled with lawyers, court appearances, paperwork – and hefty legal fees – you discover that despite all the careful steps you’ve taken to protect your company, the Plaintiff’s attorney seems to already know more about your internal, confidential business than you do. As you investigate the leak, you find that your Resident Agent has inadvertently slipped out just enough information about your company to get that attorney rolling. You feel angry, overwhelmed, and out of control.

Think it won’t happen to you? Think again. It happens every day. And in a disturbing number of cases it never had to happen at all if your Resident Agent had known how to properly and legally protect you.

Your Resident Agent is Your Gatekeeper

It’s critical that your Resident Agent knows how to handle inquiries on behalf of your entity. Any Resident Agent service should know the rules. But even if they do, many companies don’t train ALL their employees in the critical skill of how to handle inquiries. And it only takes one – the well-meaning new phone receptionist… the enthusiastic young file clerk… the temp called in to cover for your secretary, out with the flu.

Just a Few of The Many Ways NCP Protects You Are…

A subpoena must have an ORDER from the state of Nevada before we can accept it. If a subpoena regarding one of NCP’s clients is issued by the Federal Court, we must accept it. However, that does not mean that the service was effective. When we make a copy and forward to the client (via certified, return-receipt mail), we advise him/her to check with an attorney to make sure that the service was proper.

Complaints are forwarded to you, the client. Extraneous information about our client is never given to the complainant.

If NCP receives a phone inquiry regarding a client, information is never given out to anyone without the client’s express permission. NCP merely takes a message for the client, then follows up later to determine whether the client wants to provide information to the caller.

A subpoena is merely forwarded to the client. Information about our client is never released to the server, regardless of improper or persistent questions.

If NCP is subpoenaed for records, we release only what is specifically demanded by the subpoena.
