Amendment
A certificate of amendment is a document filed with your state of incorporation or a state you have qualified to do business in, to change the information included in your company's articles/certificate of incorporation or articles/certificate of organization. States often allow certain information, such as director or officer information, to be updated by means of the corporation's or LLC's annual report.
If you need to change the name of your company, the amount of stock (for a corporation) or the business purpose an amendment must be filed with the state to make this change.
Dissolution
Your business may come to the point where it is time to cease operations and dissolve it. One of the steps is to dissolve the LLC or corporation with the Secretary of State. DBA
DBA stands for "doing business as" and is an official and public registration of a business name. DBAs are also known as Fictitious Names. A DBA is the name of a business other than the name of your corporation or LLC that is filed. EIN Number
One of the first steps after the corporation or LLC is formed is to obtain a Federal Tax Identification Number [a.k.a. as the Employer Identification Number (EIN)]. Remember, every new entity needs a SEPARATE EIN number. The Corporation or LLC will need this to open a bank account, obtain a business license and start payroll.
Nevada State Business License
The Nevada State Business license is required for every entity formed in Nevada . If your entity is doing business in Nevada you may also need a local business license.
Nevada Bank Account
Keep in mind if you are doing business in another state, then you will need to register as a foreign entity and open a bank account in that state. In this situation, you will not need a bank account in Nevada. If you are going to operate the business in Nevada you will need a bank account in Nevada (meaning the employees are based in Nevada and doing the work in Nevada).
